This Conversion Acknowledgment and Agreement ("Acknowledgment") is entered into between Carolina Pintos Therapy, PLLC (the "Company") and the undersigned individual ("You" or "Worker") in connection with Your transition from independent contractor to W-2 employment.
Conversion Date: 08/10/2026
1. End of the Contractor Engagement. Your independent-contractor engagement with the Company ends at the close of the day before the Conversion Date. Your W-2 employment begins on the Conversion Date. There is no gap between the two: your obligations regarding Confidential Information and patient privacy continue without interruption at all times.
2. Final Contractor Payment. The Company will pay You for all documented services performed through the last day of the engagement, at the rates and on the terms of Your engagement letter. You agree to submit any outstanding service documentation within five (5) days of the Conversion Date so the final payment can be processed accurately.
3. Training Balance Forgiven. You and the Company are parties to a Training Investment & Reimbursement Agreement (the "Training Agreement"). As of the Conversion Date, the entire remaining unforgiven balance under the Training Agreement is forgiven in full and permanently. No repayment obligation under the Training Agreement survives the Conversion Date, and the Company waives any right to offset or collect that balance.
4. Contractor Agreements Terminated and Superseded. Effective on the Conversion Date, the following agreements and standards governing Your contractor engagement are terminated and superseded, and are replaced by the employment documents You are signing at conversion:
- Your Independent Contractor Engagement Letter;
- the Independent Contractor Services Agreement (if signed);
- the Confidentiality, Intellectual Property & Non-Solicitation Agreement (Independent Contractor version) — replaced, without any gap in protection, by the Confidentiality, Intellectual Property & Non-Solicitation Agreement (Employee version) signed at conversion;
- the Training Investment & Reimbursement Agreement (per Section 3 above); and
- the Facility, Scheduling, Service Documentation & Points Standards (if signed).
Any other agreement or standard that governed Your contractor engagement and is not listed above is likewise terminated as of the Conversion Date, except that obligations which by their nature relate to the period of the engagement (including confidentiality, return of property, and documentation integrity for services already performed) survive with respect to that period. If You previously signed any non-competition agreement with the Company, it is terminated and replaced in its entirety by the Non-Competition Agreement (New Employees & Conversions) You are signing at conversion.
5. Consideration. You acknowledge that in exchange for the promises in the agreements You are signing at conversion, You are receiving good and sufficient consideration, including: (a) the offer and commencement of W-2 employment; (b) the full forgiveness of the Training Agreement balance described in Section 3; (c) eligibility for employee benefits and employee bonus programs on their terms; and (d) the Company's promise to provide You new and continuing access to its Confidential Information, training, patient relationships, and goodwill, which promise the Company will keep. Continued employment alone is not the consideration for the restrictive covenants You are signing.
6. Employment Documents. At or before the Conversion Date You will sign: the W-2 offer letter for Your position; the Confidentiality, Intellectual Property & Non-Solicitation Agreement (Employee version); the Non-Competition Agreement (New Employees & Conversions); and the Company's current employment policies as listed in Your offer letter. You will also complete Form I-9 within three (3) business days of the Conversion Date, along with Form W-4 and direct-deposit enrollment.
7. Nature of the Prior Relationship. You and the Company agree that before the Conversion Date You provided services as an independent contractor, and nothing in this Acknowledgment changes, or is an admission regarding, the classification of that prior period.
8. Employment At Will. Your employment is at will. Either You or the Company may end the employment relationship at any time, with or without cause or notice. Nothing in this Acknowledgment promises employment for any period.
9. General. This Acknowledgment is governed by Texas law, with venue in Harris County, Texas. If any provision is found unenforceable, a court of competent jurisdiction is requested to reform it to the minimum extent necessary to make it enforceable, and the remainder stays in effect. This Acknowledgment, together with the employment documents signed at conversion, is the entire agreement regarding the transition and supersedes prior discussions about it.
Acknowledgment and Acceptance
I have read and understand this Conversion Acknowledgment. I agree to its terms, including the end of my contractor engagement, the forgiveness of my training balance, and the termination and replacement of my contractor agreements as described above.
