Purpose of Agreement
This Retainer Agreement is entered into between Homero Miranda (“Client”) and Juan Giraldo (“Fabricator”) of RE Motorsports to facilitate the purchase of parts for the build and customization of a 2003 Mini Cooper equipped with a K24 engine and AWD system (“the Vehicle”). This agreement ensures that authorized parts can be ordered promptly upon written confirmation without delays for payment, expediting fabrication and installation work. Labor costs will be invoiced and paid separately.


Scope of Work

The Fabricator is retained to perform the following tasks on the Vehicle, adhering to the specifications provided by the Client:

  1. Fix Drivetrain Vibration: Diagnose and resolve the vibration issue. Potential causes include the driveshaft, clutch, struts, or other components.
  2. Install Fuel System for +800 HP on E85: Install flex fuel sensor, injectors, surge tank, and all necessary fuel system upgrades.
  3. Tune Current Setup: Conduct a thorough tune for the Vehicle's current setup using the FuelTech FT550 system to optimize performance and reliability.
  4. Setup and Tune FuelTech FT550: Install, set up, and tune the FuelTech FT550 system, including the addition of 2-step and 3-step configurations.
  5. Install and Setup Sensors: Install and integrate a knock sensor and oil temperature sensor with the FT550.
  6. Fix Coolant Leaks: Diagnose and repair any coolant leaks.
  7. Fix Steering Wheel: Address and resolve the loose or wobbly steering wheel issue, potentially related to the adapter.
  8. Turbo Upgrade (Interim Setup): Identify, purchase, and install an upgraded turbo (options: Turbosmart ball bearing or Precision ball bearing turbo). Note: The current engine is not built and cannot exceed approximately 500 wheel horsepower safely. The turbo upgrade will be configured to remain within this limit.
  9. Suspension Setup: Identify, purchase, and install KW coilovers.
  10. Transmission Build: Build a transmission capable of reliably handling up to 1,000 horsepower.
  11. Custom Exhaust and Cooling (Need Quote): Build and install custom exhaust headers, a downpipe compatible with the existing exhaust system, intercooler piping, and an air-to-water intercooler core.
  12. Air Conditioning (Need Quote): Create a custom setup to get the AC system functional.
  13. Instrument Cluster (Need Quote): Resolve functionality issues with the OEM instrument cluster to ensure all gauges operate correctly.

Note: The engine will be a built by 4Piston Racing, and will be provided by the customer. The Fabricator shall not purchase or modify the engine itself.


Authorized Purchases

  • The Fabricator is authorized to use the retainer only for the purchase of parts directly related to the tasks listed above.
  • Labor costs are not included in this retainer and will be invoiced separately and paid upon completion of work.
  • The Fabricator must obtain text or written confirmation from the Client before making any purchase.

Terms of Payment

  • The Client will provide a retainer of $5,000.00, which the Fabricator may use to fund authorized part purchases.
  • The Fabricator will maintain a record of all purchases made with the retainer and provide weekly updates to the Client, including details of parts ordered and their associated tasks.
  • Once the retainer funds are consumed, and proof of progress (e.g., photographs, receipts, or detailed reports) has been provided, the Client will replenish the retainer upon review and mutual agreement.
  • Additional funds may be added to the retainer upon review and mutual agreement.
  • Labor costs for fabrication and installation will be invoiced separately and paid upon completion of the respective tasks.

Communication Requirements

  • The Fabricator must obtain text or written confirmation from the Client before initiating any specific task or making any purchase.
  • Weekly updates are required to keep the Client informed about the project's progress and retainer usage.

Goals

The initial goal is to have the car running perfectly on E85 making 500 wheel horsepower. The end goal is to drop in the new built motor and be make 700-800 wheel horsepower upon engine upgrade. 


Acknowledgment and Agreement

Both parties agree to the terms outlined in this Retainer Agreement. Any modifications to this agreement must be made in writing and signed by both parties.
