Settlement, Deduction & Confidentiality Agreement

This Settlement, Deduction & Confidentiality Agreement (the “Agreement”) is entered into by and between Carolina Pintos Therapy, PLLC (“the Company”) and you (“the Employee/Contractor”), as of the date signed below.


Background

  1. The Employee executed a Non-Competition Agreement and Offer Letter with the Company.

  2. The Employee has engaged in conduct constituting a breach of those agreements.

  3. The Company is entitled to seek liquidated damages of $10,000 plus attorney’s fees and injunctive relief.

  4. The parties desire to resolve this matter without litigation.


Settlement Terms

1. Voluntary Deduction / Settlement

  • The Employee authorizes the Company to withhold and retain their final paycheck, as a credit and partial settlement of damages owed to the Company.

  • In exchange, the Company agrees not to pursue immediate litigation for additional damages, though it expressly reserves the right to enforce the Non-Competition Agreement for any future violations.

2. Non-Disparagement

  • The Employee agrees not to make, publish, or communicate any negative, critical, disparaging, or damaging statements (directly or indirectly, online or offline) about the Company, its owners, employees, clients, services, or business reputation.

  • This prohibition includes, but is not limited to, posting reviews, social media comments, or statements to third parties.

3. Confidentiality / Non-Disclosure

  • The Employee shall not disclose, discuss, or reference this Agreement, its terms, or any settlement-related conversations with any third party, except to their attorney or tax advisor as required by law.

  • Breach of this provision will constitute an additional violation entitling the Company to damages and legal relief.

4. Waiver of Claims

  • The Employee releases and waives any and all future claims, causes of action, or demands against the Company, its owners, and affiliates arising from their employment, contract, or termination, including but not limited to claims for wages, damages, or other relief.

  • The Employee acknowledges this waiver is broad and intended to bar any future legal action against the Company.

5. No Duress / Voluntary Agreement

  • The Employee acknowledges they are entering into this Agreement voluntarily, that they have been given the opportunity to consult with independent counsel, and that they fully understand the consequences of signing.


General Provisions

  • This Agreement does not alter or waive the enforceability of the Non-Competition Agreement, which remains in full effect.

  • This Agreement is governed by the laws of the State of Texas.
